Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using the services provided by Exalt AI ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Service.

2. Description of Service

Exalt AI provides an artificial intelligence platform that includes:

• "RAG as a Service": Retrieval-Augmented Generation for interacting with your custom knowledge bases.
• AI Agents & Automations: Autonomous agents capable of executing tasks and workflows across third-party applications.
• Custom AI Solutions: Tailored AI development and integration.

3. User Accounts and Security

Credentials: You are responsible for maintaining the confidentiality of your login credentials.

Agent Permissions: When you authorize an Exalt AI Agent to access third-party services (e.g., your CRM, Email, or Slack), you grant us permission to access, read, and write data to those services as instructed by your workflows. You are solely responsible for the scope of permissions you grant.

4. Payment and Billing

Stripe Processing: We use Stripe, Inc. ("Stripe") for payment processing. You agree to provide current, complete, and accurate billing information.

Subscriptions: Services are billed on a subscription basis. Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account dashboard before the renewal date.

Refunds: Unless required by law, all fees are non-refundable.

5. User Content and Data

Ownership: You retain all rights and ownership of the documents, files, and text you upload for RAG processing ("User Content").

License to Process: You grant Exalt AI a worldwide, non-exclusive license to host, copy, and process your User Content solely for the purpose of providing the Service to you.

Data Prohibition: You agree not to upload sensitive personal health information (HIPAA data), classified government data, or illegal content to our RAG systems unless explicitly agreed upon in a separate Enterprise agreement.

6. AI Disclaimers (Read Carefully)

Accuracy: Artificial Intelligence is probabilistic. You acknowledge that outputs generated by Exalt AI may contain errors, inaccuracies, or "hallucinations." You agree to verify all AI-generated information before relying on it for business, legal, or financial decisions.

Agent Actions: You acknowledge that AI Agents may occasionally misinterpret instructions. You are solely responsible for all actions taken by Agents on your behalf (e.g., emails sent, database entries modified). We recommend using "Human-in-the-Loop" approval settings for high-stakes actions.

7. Prohibited Use

You agree not to:

• Use the Service to generate spam, phishing content, or fraudulent materials.
• Attempt to "jailbreak," reverse engineer, or bypass the safety filters of our AI models.
• Use the Service to infringe upon the intellectual property rights of others.

8. Limitation of Liability

To the fullest extent permitted by law, Exalt AI shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business goodwill, arising from your use of the Service.

In no event shall our total liability to you exceed the amount you paid to Exalt AI in the twelve (12) months immediately preceding the claim.

9. Indemnification

You agree to indemnify and hold Exalt AI harmless from any claims, damages, or expenses arising out of your User Content, your violation of these Terms, or your misuse of the AI Agents.

10. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law principles.
